Chapter 4: The Secret Behind the Four-Hundred-Million-Dollar Deal

Malcolm was waiting in the underground parking garage.

He stood beside his black Mercedes, speaking into his phone.

When Vanessa approached, he ended the call.

"Where have you been?""

"At Helix.""

His expression tightened.

"You went to see Andre?""

"Yes.""

"Without telling me?""

"I had questions.""

"And?""

She held the folder against her chest.

"He said the loan was repaid. The shares were never mine.""

Malcolm looked relieved for half a second.

"Good.""

Vanessa frowned.

"Good?""

"Well, that's one problem solved.""

She studied his face.

"What's happening with the audit?""

Malcolm looked around the garage.

"Get in the car.""

"Why?""

"Because I don't want to discuss this here.""

She hesitated, then climbed into the passenger seat.

Malcolm started the engine but didn't move.

"Andre has been digging through the original company records.""

"So?""

"He found the Daniel Mercer agreement.""

"Who was Daniel?""

Malcolm rubbed his jaw.

"He was Andre's original technical partner. They developed the first Helix systems together.""

Vanessa nodded.

"I remember the name.""

"Daniel left the company before it became what it is today.""

"Why?""

Malcolm glanced at her.

"That's what Andre is trying to establish.""

"What do you mean?""

Malcolm leaned closer.

"Daniel was paid out. But the records show that some of the intellectual property assigned to Helix was transferred through a holding company before the government contract was finalized.""

Vanessa frowned.

"Was that illegal?""

"I don't know.""

"But Andre owns Helix. Why would he care?""

"Because the holding company was registered under someone else's name.""

"Whose?""

Malcolm looked directly at her.

"Mine.""

Vanessa stared.

"What?""

"I didn't create it. My brother-in-law did. It was part of the original acquisition structure.""

"Why would your name be on it?""

"Because I was helping with strategic introductions at the time.""

She sat back.

"Malcolm, what are you saying?""

He started the car.

"I'm saying Andre may believe I took something from the company.""

"Did you?""

Malcolm didn't answer.

The car moved out of the garage.

That evening, Vanessa accompanied Malcolm to a private dinner with two investors.

The restaurant occupied the top floor of a luxury hotel.

The dining room overlooked the city, and every table was separated by tall arrangements of white roses.

Malcolm was unusually quiet.

Across from them sat Robert Keane, an investor who had helped finance several major technology firms.

Robert lifted his wineglass.

"Malcolm, congratulations on the contract.""

Malcolm smiled.

"Thank you.""

"Though I hear the board is delaying approval.""

"Temporary administrative issue.""

Robert glanced at Vanessa.

"And you must be the famous Vanessa.""

She forced a smile.

"Famous?""

Robert chuckled.

"Small world. I heard you were married to Andre Bennett.""

Malcolm's jaw tightened.

Vanessa looked at him.

Robert continued.

"Remarkable man. Built a company from almost nothing.""

"Yes," Vanessa replied.

Robert leaned back.

"Actually, I remember the original company. We looked at investing in them years ago.""

Vanessa felt a strange urge to ask questions.

"Did you?""

"Yes. Andre and Daniel were brilliant. Unfortunately, the early financial structure was complicated.""

Malcolm interrupted.

"Robert, perhaps we should focus on the current agreement.""

Robert ignored him.

"I always wondered what happened to Daniel.""

Vanessa looked between them.

"Was he important?""

"Very. He designed the original safety architecture. Andre handled the systems engineering and business development. Together, they were extraordinary.""

Robert took a sip of wine.

"Then Daniel disappeared from the picture.""

"Why?"" Vanessa asked.

Malcolm placed his fork down.

"Vanessa.""

She looked at him.

"What?""

Robert continued.

"Officially, he sold his interest. Unofficially, there were rumors that someone had been diverting licensing revenue before the company secured its federal contract.""

Malcolm's face had gone rigid.

Vanessa turned toward him.

"Did you know about that?""

He didn't answer.

Robert looked at Malcolm.

"You were involved in the early partnership discussions, weren't you?""

"Only as an outside consultant.""

"Interesting.""

The rest of dinner passed in uncomfortable silence.

When they finally left the restaurant, Malcolm grabbed Vanessa's arm.

"Don't ask questions about Daniel again.""

She pulled away.

"Why?""

"Because you don't understand what you're getting into.""

"Then explain it.""

He opened the car door.

"Not here.""

"I'm tired of that answer.""

Malcolm turned.

"Do you want to know the truth? Fine. I helped arrange the acquisition structure.

There were legal fees, consulting fees, licensing fees. Everyone was paid.""

"Was Daniel paid?""

"Yes.""

"Then what's the problem?""

Malcolm stared at her.

"Daniel believes he was cheated.""

"And was he?""

"That's not the point.""

"It seems like exactly the point.""

Malcolm leaned toward her.

"Listen carefully. Andre is not the helpless little engineer you remember. He has lawyers, investigators, and a board that will do whatever he tells them. If he decides to make this personal, he can destroy my career.""

Vanessa looked at him.

"Then you should have nothing to hide.""

His expression hardened.

The next morning, Andre sat in his office with Olivia and the company's general counsel, Eleanor Price.

A thick file rested on the conference table.

Eleanor opened it.

"We've confirmed that the original licensing revenue was transferred through three separate entities.""

Andre nodded.

"Who authorized the transfers?""

"According to the available records, Malcolm Hayes signed the approval documents.""

"Was he authorized?""

"Not for transactions of that size.""

Andre leaned back.

"How much?""

Eleanor checked the page.

"Approximately fourteen million dollars over eighteen months.""

Olivia looked shocked.

"Fourteen million?""

Eleanor nodded.

"Most of it was classified as advisory and technology acquisition expenses.""

Andre looked through the documents.

"And Daniel?""

"His final settlement was based on an incomplete valuation of the intellectual property.""

"How incomplete?""

"Significantly.""

Andre closed the file.

"Has Daniel been contacted?""

"His attorney has responded. He wants a meeting.""

"Arrange it.""

Eleanor hesitated.

"There's another issue.""

Andre looked up.

"What?""

"Malcolm has been requesting access to the original board archive.""

"Why?""

"He says he needs supporting documents for the partnership agreement.""

Andre's expression darkened.

"Did you authorize that?""

"No.""

"Then suspend his access.""

Eleanor nodded.

Olivia glanced at the calendar.

"Mr. Bennett, there's one more thing. Malcolm has requested a private meeting with you.""

Andre looked at her.

"When?""

"Today. Four o'clock.""

"Decline.""

Olivia nodded.

But before she could leave, Andre's phone rang.

The name on the screen made him pause.

Daniel Mercer.

He answered.

"Daniel?""

The voice on the other end sounded older, tired, and angry.

"Andre, I need to tell you something before you meet with the lawyers.""

"Go ahead.""

"I found the original transfer agreement.""

Andre sat forward.

"Where?""

"In a storage box. My wife kept copies of everything.""

"That's good news.""

"No, Andre. It's not.""

A pause followed.

Then Daniel spoke again.

"The agreement proves Malcolm wasn't acting alone.""

Andre's expression changed.

"Who else?""

Daniel took a breath.

"Someone inside your original office helped him move the money.""

"Who?""

"I have the signed authorization.""

"Send it to Eleanor.""

"I will. But there's something else.""

Andre waited.

Daniel's voice dropped.

"Vanessa Cole's name is on one of the original documents.""

Andre went completely still.

"What?""

"She didn't just lend you money, Andre. Someone used her signature to authorize a transfer.""

Andre looked toward the glass wall of his office.

"Daniel, are you certain?""

"I have the document in front of me.""

Andre's hand tightened around the phone.

"Send it immediately.""

Then Daniel added:

"There's a second signature on it.""

Andre closed his eyes.

"Whose?""

"Yours.""

At the same time, Vanessa was sitting at Malcolm's desk in their home.

He had left early.

His laptop was open.

She wasn't proud of what she was doing, but she had reached a point where every answer seemed to lead to another question.

A folder labeled *Legacy Acquisition* caught her attention.

She clicked it.

There were dozens of scanned documents.

Most were technical reports.

Some were financial agreements.

Then she found a file dated six years earlier.

Her name appeared in the title.

*VANESSA COLE — AUTHORIZATION AND RELEASE.*

Her hands began to tremble.

She opened it.

The document contained a transfer authorization for a sum of money she had never seen.

At the bottom was a signature.

It looked like hers.

But something was wrong.

She zoomed in.

The letter V was shaped differently.

The final stroke of the C was too long.

She had never signed it.

Then she noticed the date.

It was three days after she had moved out of Andre's apartment.

A cold realization swept over her.

Someone had used her identity.

And the document showed exactly who had submitted it.

*MALCOLM HAYES.*

Before she could take a screenshot, the front door opened.

Malcolm's voice echoed through the house.

"Vanessa?""

She quickly closed the laptop.

He entered the study.

His eyes moved to the screen.

Then to her face.

"What are you doing?""

She stood.

"Looking for something.""

Malcolm slowly closed the office door.

"Did you find it?""

Vanessa looked at him.

"Why is my signature on a document transferring money from Andre's company?""

Malcolm didn't blink.

May you like

Then he said something that made her understand just how dangerous the situation had become.

"Because six years ago, Vanessa, you were supposed to take the blame.""
