Chapter 9: The Last Move of the Williams Family
The emergency meeting was scheduled for ten in the morning.
By nine-thirty, I was standing outside the conference room at Sterling Capital's headquarters with David beside me.
Neither of us had slept.
Our attorneys had spent the night reviewing the forged documents, the loan agreement, and the records from Williams Development.
We had also received a preliminary report from the financial investigator hired by Sterling Capital.
It revealed that Meridian Equity had been used to route money through several companies.
Some of those companies were connected to Eleanor Williams.
Others were connected to Daniel Price.
The pattern suggested that the attempt to acquire Bennett Hospitality Group was part of a much larger plan.
David adjusted his tie.
“Are you ready?””
I looked at him.
“No.””
He gave a faint smile.
“Good. Neither am I.””
We entered the conference room.
Richard Coleman stood near the windows.
Two attorneys sat beside him.
Across the table sat a woman in her early sixties wearing a tailored navy suit.
Her silver necklace rested perfectly against her collar.
She looked composed.
Almost elegant.
Vanessa sat beside her.
And Daniel Price sat at the far end of the table.
I recognized the woman immediately from the shareholder records.
Eleanor Williams.
Vanessa's mother.
She smiled when we entered.
“Marcus Bennett. I've heard so much about you.””
I pulled out a chair.
“Unfortunately, I can say the same.””
Vanessa looked irritated.
Eleanor raised one hand.
“Let's keep this professional.””
Richard gestured toward the empty seats.
“Please sit. We need to resolve the ownership questions before any further transactions proceed.””
Eleanor opened a folder.
“Of course.””
She looked at me.
“Marcus, I understand you're upset about some paperwork.””
“Some paperwork?””
She smiled politely.
“Misunderstandings happen in business.””
David leaned forward.
“Forgery isn't a misunderstanding.””
Eleanor glanced at him.
“David, I understand you're involved in a separate financial dispute.””
“I'm involved because someone used my name to borrow eight million dollars.””
She sighed.
“I'm sure your attorneys will resolve that.””
I placed our documents on the table.
“Let's begin with the shareholder resolution submitted three days after our father's death.””
Eleanor's smile disappeared slightly.
I pushed the document toward her.
“Neither David nor I signed this.””
Daniel adjusted his glasses.
“The document was prepared based on information available at the time.””
I turned toward him.
“Then explain why the signatures are forged.””
Daniel looked at Eleanor.
She answered instead.
“The document reflected an understanding between the families.””
I stared at her.
“What understanding?””
“Your father and my late husband had discussed consolidating their investments. It was a sensible business arrangement.””
“Did they sign anything?””
“Not that I recall.””
“Then why is there a document claiming they did?””
Eleanor closed her folder.
“Marcus, I don't believe accusations are going to help anyone.””
Richard interrupted.
“Mrs. Williams, Sterling Capital requires verification of all ownership documents before proceeding.””
Eleanor turned toward him.
“Richard, surely you understand the commercial value of this arrangement.””
“I understand the value of legitimate ownership.””
Vanessa finally spoke.
“This is becoming ridiculous. Marcus has a personal issue with me, and he's bringing it into a business meeting.””
I looked at her.
“You tried to use my company's financial information to obtain an unauthorized loan.””
She rolled her eyes.
“You have no proof that I did that.””
David placed his phone on the table.
“I have your messages.””
Vanessa froze.
He opened the conversation.
Her own words appeared on the screen.
*Once Marcus signs the letter, Sterling will have no reason to question us.*
Then another.
*If he refuses, we'll use the family property.*
Eleanor reached for the phone.
“That's enough.””
David pulled it away.
“Don't touch it.””
The room became silent.
I turned toward Richard.
“Our independent investigation also identified transfers from Meridian Equity to Williams Development Group.””
Richard nodded.
“We have verified several of those transfers.””
Eleanor's expression hardened.
“Those were legitimate business transactions.””
“Then you'll have no problem explaining why the money was transferred through three shell companies before reaching your daughter's account.””
She looked at her attorney.
He whispered something.
Eleanor leaned back.
“I'm not prepared to discuss confidential financial matters without reviewing the records.””
I placed another folder on the table.
“Then review these.””
Inside were the transaction records, the forged acquisition agreement, the unauthorized loan application, and the security logs showing Daniel's access to our confidential files.
Daniel's face became pale.
Eleanor looked at him.
“You told me the documents were secure.””
He said nothing.
Vanessa turned sharply.
“Mom, what is he talking about?””
Eleanor ignored her.
Richard stood.
“Before we continue, Sterling Capital is formally suspending all proposed transactions involving Meridian Equity and Williams Development Group pending a full investigation.””
Eleanor's composure cracked.
“You cannot do that.””
“We can, and we have.””
She leaned forward.
“You're risking a forty-million-dollar opportunity over paperwork.””
I looked at her.
“No. We're protecting a company that employs eleven hundred people from people who believe paperwork is more important than honesty.””
Vanessa laughed bitterly.
“You think you're some kind of hero because you own restaurants?””
I turned toward her.
“No. I think I'm responsible for the people who work in them.””
She shook her head.
“You've always been arrogant.””
I almost smiled.
“Funny. That's exactly what you said in high school when I refused to stop talking about my dreams.””
Her face reddened.
Eleanor stood.
“This meeting is over.””
But Richard raised his hand.
“Not yet.””
He opened a separate folder.
“There is another matter we need to address.””
He looked at Eleanor.
“Your company submitted a proposal claiming that Meridian Equity had authority to acquire Bennett Hospitality Group.””
“Yes.””
“That authority was based on the disputed shareholder resolution.””
“Yes.””
“Then there's a problem.””
He placed a document in front of her.
It was the original trust agreement established by my father.
The document Margaret had provided.
Richard continued.
“The family trust retains voting rights that were never legally transferred. Marcus and David Bennett remain the authorized representatives of their respective interests.””
Eleanor stared at the paper.
I watched her carefully.
For the first time, she looked frightened.
“That document is outdated.””
Margaret Ellis entered the room.
“No, Mrs. Williams. It isn't.””
Everyone turned.
She carried a briefcase and walked directly to the table.
“I am the attorney who prepared the original trust.””
Eleanor's mouth tightened.
Margaret placed a certified copy in front of Richard.
“The trust was never dissolved. The voting rights were never transferred. And the resolution submitted by your company is not valid.””
Vanessa stood.
“Mom?””
Eleanor didn't answer.
Margaret continued.
“Furthermore, the family holding company has initiated legal proceedings to challenge the unauthorized loan secured against its property.””
Daniel suddenly reached for his briefcase.
Two investigators standing near the entrance stepped forward.
“Mr. Price, please remain where you are.””
Daniel stopped.
Eleanor looked toward them.
“What is this?””
One investigator identified himself and requested that Daniel accompany him for questioning concerning suspected document fraud and financial misconduct.
Daniel looked at me.
“You can't let them do this.””
I met his eyes.
“You did this to yourself.””
He was escorted from the room.
Vanessa began crying.
“Mom, you said everything was handled.””
Eleanor turned toward her.
“Be quiet.””
But Vanessa continued.
“You told me Marcus would sign. You told me David would never find out.””
Eleanor's expression turned cold.
“Vanessa, stop talking.””
Richard looked at her.
“Mrs. Williams, I think we've heard enough.””
Eleanor gathered her papers.
Then she looked directly at me.
“You may think you've won.””
I didn't respond.
She leaned closer.
“But there is one thing you don't know about your father.””
I felt my chest tighten.
“What?””
She smiled faintly.
“Your father didn't simply invest with my husband. He made a promise.””
“What promise?””
Eleanor picked up her handbag.
Then she delivered the words that changed everything.
“He promised that the Bennett family would never challenge the Williams family's ownership of Meridian Equity.””
Margaret shook her head.
“That's false.””
Eleanor looked at me.
“Ask your mother.””
And then she walked out.
David turned toward Margaret.
“What does she mean?””
Margaret looked uncomfortable.
“There's one more document your father left.””
I stared at her.
“What document?””
She opened her briefcase.
It was a sealed envelope.
My father's name was written across the front.
May you like
And underneath it were four words:
*For Marcus alone.*
