Chapter 9: The Debt Behind the Fortune

My mother's final words followed me long after she left.

He left you a debt.

For several minutes, nobody spoke.

Then I turned toward Daniel.

“What does that mean?””

He closed the laptop.

“I need to verify something.””

“Verify what?””

“Your father's original Blackwood agreement.””

Thomas opened the notebook again.

“There's no debt.””

Daniel looked at him.

“Not exactly.””

My stomach tightened.

“What are you both hiding?””

Daniel placed his hands on the table.

“Blackwood was established with borrowed capital. Your father and Thomas used private financing to acquire several distressed properties and intellectual property rights.””

“How much?””

“Initially, about twelve million dollars.””

I sat down.

“And now?””

“The original debt was repaid years ago. But there was a separate guarantee connected to one of the investment funds.””

Thomas nodded slowly.

“I remember.””

Daniel continued.

“Your father negotiated a settlement with the lender before he died. The remaining obligation was conditional. It could only be triggered if someone attempted to transfer Blackwood's controlling shares outside the trust.””

I stared at him.

“Are you saying Marcus triggered a debt?””

“Potentially.””

“How much?””

Daniel hesitated.

“Approximately eight million dollars, subject to verification.””

I stood.

“Eight million?””

Thomas shook his head.

“That's not what your father intended.””

Daniel opened the agreement.

“Your father negotiated a protection clause. If the transfer was fraudulent, the obligation could be challenged and the lender would have to recognize the original settlement.””

“Then why did Mom say it was a debt?””

“Because she knows the clause exists. And she may be trying to frighten you into abandoning the trust.””

I walked toward the window.

Outside, the garden was bright with afternoon sunlight.

A gardener was trimming the hedges.

Ordinary life continued.

Meanwhile, my family had spent eleven years building a trap around me.

“Who is the lender?”” I asked.

Daniel turned the document around.

The name was unfamiliar.

*Meridian Capital Partners.*

Thomas frowned.

“That's strange.””

“What?””

“Your father never dealt with Meridian.””

Daniel examined the page.

“Someone acquired the original debt.””

“Who?””

He looked at the signature block.

Then his face changed.

“Richard Cole.””

I stared.

“Richard owns the debt?””

“According to this assignment, yes.””

Thomas stood.

“That can't be right.””

Daniel checked the date.

“It was transferred eight months ago.””

Eight months.

Around the time Marcus began discussing divorce.

Around the time Vanessa started appearing in his messages.

Around the time my mother began asking whether I had reviewed the Westbridge shareholder agreement.

I suddenly understood.

The affair had not been the beginning of Marcus's betrayal.

It had been part of a larger plan.

He needed me distracted.

He needed me humiliated.

He needed me to believe I had already lost my marriage so I would be more willing to sign away my company.

I looked at Daniel.

“Can we meet Richard?””

“Yes.””

“When?””

“Tomorrow morning.””

“No. Today.””

Daniel checked his watch.

“His office closes in an hour.””

“Then we have an hour.””

Thomas shook his head.

“Denise, be careful. Richard has been playing this game for years.””

I looked at my father's notebook.

“Then it's time someone changed the rules.””

The next morning, Daniel and I arrived at Richard Cole's office at 9:00.

He greeted us with an expensive smile.

“Denise. What a surprise.””

I sat down without returning the greeting.

“We need to discuss Meridian Capital.””

His smile weakened.

“That's a complicated matter.””

“Then let's simplify it. Why do you own the debt connected to Blackwood?””

Richard folded his hands.

“Your father entered into several financial agreements. The debt was legally assigned to me.””

“Was Marcus involved?””

Richard looked at Daniel.

“I'm not obligated to discuss my client's private business.””

Daniel placed the assignment agreement on the desk.

“Then discuss the document.””

Richard glanced at it.

“I don't see a problem.””

“Your signature appears on a transfer made eight months ago. The original lender's records show no authorization for the assignment.””

Richard's expression remained controlled.

“Perhaps you should speak to the lender.””

“We did.””

Daniel placed another page on the desk.

“The lender has no record of approving the transfer.””

Richard's smile disappeared.

I leaned forward.

“Did my mother arrange this?””

He looked at me.

“Your mother is a complicated woman.””

“Did she?””

Richard stood.

“I think this meeting is over.””

Daniel remained seated.

“Not until we address the electronic authorization.””

Richard's face hardened.

“What authorization?””

“The one used to transfer the debt into Meridian's account.””

He looked at me.

For the first time, I saw genuine anger.

“You have no idea how much trouble your father caused.””

I didn't move.

“Tell me.””

Richard laughed.

“Your father believed he could control everything. He believed his little daughter would inherit his empire and somehow make better decisions than the people who actually understood business.””

“Is that why you helped my mother?””

He leaned against his desk.

“Your mother understood reality. She knew your father had made promises he couldn't keep.””

“And Marcus?””

“Marcus was useful.””

The words came easily.

Too easily.

I felt a chill move down my arms.

Richard continued.

“He had ambition. He had access to the company. He needed money.

Your mother needed a way out of the trust restrictions. Everyone had something to gain.””

“Except me.””

Richard shrugged.

“You were never supposed to be involved.””

Daniel quietly switched on the recorder.

“Are you admitting that you participated in a plan to obtain control of Blackwood?””

Richard looked toward him.

His face went pale.

“You're recording this?””

“I'm documenting the meeting.””

Richard sat down.

The confidence had disappeared.

“Turn it off.””

I looked at him.

“Why? You were speaking so freely a moment ago.””

He stared at me.

Then he reached into his desk drawer and removed a folder.

“Your mother is the one you should be questioning.””

I looked at the folder.

“What is it?””

“The original Blackwood agreement.””

Daniel reached for it.

Richard pulled it back.

“Not so quickly.””

“What do you want?”” I asked.

“An arrangement.””

I almost laughed.

“Another one?””

“You sign the settlement. You abandon the ownership dispute. In exchange, I'll release the debt claim and Marcus will receive a clean exit from Westbridge.””

I stared at him.

“And my mother?””

“She receives her remaining payment.””

“No.””

Richard sighed.

“Denise, you're being emotional.””

I stood.

“That's what men say when a woman refuses to cooperate.””

I turned toward the door.

Richard's voice stopped me.

“Your father knew he was going to die.””

I froze.

Daniel slowly stood.

“What did you say?””

Richard swallowed.

“He knew the company was in danger. He knew what was coming.””

“Are you saying you had something to do with his death?”” I asked.

Richard shook his head quickly.

“I'm saying he was warned.””

“By whom?””

He looked down.

Then he whispered:

“Your mother.””

I felt the room tilt.

Daniel stepped forward.

“Explain.””

Richard closed his eyes.

“She told him she would expose everything unless he changed the trust agreement.””

My throat tightened.

“And did he?””

“No.””

“Then what happened?””

Richard opened his eyes.

“Three days later, he died.””

Daniel looked at me.

I could barely hear him.

“We need the original medical records.””

Richard nodded.

“Your mother has them.””

I stared at him.

“Why?””

“Because she requested the private file after his death.””

Daniel picked up the folder.

Richard didn't stop him.

As we reached the elevator, my phone vibrated.

A message from Vanessa.

Denise, I found something in Marcus's old laptop. It's a recording of a conversation between Marcus and your mother.

Another message appeared.

I think it explains what happened the night your father died.

I looked at Daniel.

“Can you play it?””

He nodded.

I opened the file.

My mother's voice came through first.

“Your father is becoming a problem.””

Then Marcus answered.

“He won't sign.””

My mother sighed.

“Then we need another way.””

There was a pause.

And then Marcus said something that made my blood run cold.

“Eleanor, I already took care of the hospital records.””
